Welcome to Kadmar Digital (“Company,” “we,” “our,” or “us”). By accessing our website or using any of our services, you agree to be bound by these Terms and Conditions and our Refund Policy.

Your use of our website and services is voluntary. If you do not agree with these terms, please discontinue use immediately.

2.   Modifications to Terms

Kadmar Digital may update or modify these Terms at any time without prior notice. Changes are effective immediately upon posting. Clients are responsible for reviewing the Terms each time they access the website or use our services.

3.  Website Use & Information Collection

We collect non-personal navigational and technical information to analyze website usage, improve performance, and enhance services.

Personal information provided by clients is handled in accordance with Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA).

4.   Intellectual Property

All content on this website—including text, graphics, logos, images, designs, digital downloads, and software—is the property of Kadmar Digital or its licensors and is protected under Canadian copyright and trademark laws.

Permitted Use

  • Viewing, downloading, or printing content for personal, non-commercial use only

Prohibited Use

  • Reproduction, distribution, modification, sale, or creation of derivative works without written permission is strictly prohibited
  • Downloading or copying content does not transfer ownership rights

5.  Testimonials & Client Materials

All testimonials, feedback, and submitted materials become the property of Kadmar Digital. We may use client testimonials, logos, and project references for marketing purposes, without compensation or obligation to maintain confidentiality.

6.   Electronic Communications

By using our website or sending emails to our contacts, you consent to receive electronic communications. These communications satisfy any legal requirement for written notice under Canadian laws.

7.   Copyright & Trademark Complaints

If you believe your copyrighted work has been used in violation of applicable Canadian laws, please contact Kadmar Digital with sufficient details so that we can investigate and take appropriate action.

8.   Client Responsibilities

Clients agree to:

  • Provide all required content, assets, credentials, and approvals in a timely manner
  • Follow agreed project timelines and payment schedules
  • Review and approve deliverables promptly

Kadmar Digital is not responsible for missed deadlines or launch delays caused by incomplete or delayed client input.

9.   Project Commencement & Payments

Work begins only after:

  • A signed agreement is received
  • Payment of the non-refundable initial deposit

Delays in providing assets or approvals may impact delivery schedules.

10.   Error Review & Migration

  • Kadmar Digital provides a 7-day error review window after project delivery or website migration
  • Clients must review the project and report any issues within this period
  • Errors reported after 7 days are billed at $50/hour
  • Clients must provide hosting and domain credentials within 30 days of project completion; failure to do so may result in website removal from our servers without notice

11.  Browser Compatibility

Websites are tested on the latest versions of Chrome, Firefox, and Safari. Display may vary depending on screen size, resolution, or device type.

12.   Revision Policy

We offer guaranteed revisions at no additional cost, provided the original design concept remains unchanged. Typical turnaround time for revisions is two business days.

13.   Force Majeure

Kadmar Digital shall not be held liable for any delay, interruption, or failure to perform its obligations where such delay or failure results from causes beyond its reasonable control, including but not limited to:

  • natural disasters,
  • floods,
  • fires,
  • pandemics,
  • cyberattacks,
  • internet or power
  • outages,
  • labor disputes,
  • government actions,
  • war,
  • terrorism,
  • civil unrest,
  • hosting provider failures,
    or failures of third-party platforms or technologies.

During any Force Majeure event, affected obligations shall be suspended for the duration of the event without liability or penalty.

14.   Governing Law & Jurisdiction

This Agreement shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of law principles.

This governing law provision applies to all services provided by Kadmar Digital, including services rendered to clients located in Canada, the United States, or any other jurisdiction.

Any dispute, claim, or legal proceeding arising out of or relating to this Agreement, the services provided, or the relationship between the parties shall be brought exclusively before the courts located in the Province of Ontario, and all parties consent to the exclusive jurisdiction of those courts unless otherwise agreed in writing by both parties.

15.  Limitation of Liability

To the maximum extent permitted by applicable law:

Kadmar Digital shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, business opportunities, search engine rankings, advertising performance, or business interruption arising from or related to the services provided.
Kadmar Digital’s total aggregate liability for any claim relating to web design, development, maintenance, SEO, hosting, marketing, consulting, or other digital services shall not exceed the total amount paid by the Client for the specific service giving rise to the claim.
Kadmar Digital shall not be responsible for:

  • hosting outages or server failures;
  • domain registrar issues;
  • third-party software,
  • plugins, APIs, or platform disruptions;
  • cybersecurity incidents beyond reasonable control;
  • data loss caused by third-party systems or client negligence;
  • delays caused by missing client content, approvals, or communication;
  • search engine algorithm changes or ranking fluctuations;
  • lost sales, leads, or business opportunities.

The Client acknowledges that all websites, software systems, and online platforms may experience occasional downtime, vulnerabilities, or technical limitations, and no guarantee is made that services will be uninterrupted, fully secure, or error-free at all times.

16.   Severability

If any provision of these Terms is found invalid or unenforceable under Ontario law, the remaining provisions remain in full force and effect.

17.   Refund Policy

Kadmar Digital strives for 100% customer satisfaction. Refunds are evaluated on a case-by-case basis and must follow the conditions below:

Eligibility

  • Before project delivery: Full refund minus 10% service & processing fee
  • Within 48 hours of delivery: 65% refund minus 10% service & processing fee
  • 48–120 hours after delivery: 33% refund minus 10% service & processing fee

 After first revision: Refunds not available

  • After delivery of final files or website deployment: Refunds not available
  • After 120 hours: Refunds not available, though clients may contact us for support or adjustments

Project Delays & Inactivity

  • No refunds for delays caused by client failure to provide content, approvals, or feedback
  • Projects inactive for 2 months are considered closed with no refund
  • Reactivation requires a 25% reactivation fee

Error Review Period

  • Clients have 7 days after project delivery to report any errors
  • Errors reported after 7 days are billed at $50/hour

Third-Party Services

Payments for domains, hosting, plugins, or other third-party services are non-refundable.

Requesting a Refund

To request a refund, clients must:

  1. Email sales@kadmardigital.com
  2. Include invoice number, project name, and reason for request
  3. Submit the request within the applicable timeframe above All requests are reviewed and approved at Kadmar Digital’s
